Pay With Cause LLC — Website Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of websites and pages operated by Pay With Cause LLC ("Pay With Cause," "we," "us," or "our"). By accessing or using our website(s) (collectively, the “Site”), you agree to these Terms. If you do not agree, do not use the Site.

1) Changes to the Terms and the Site

We may update these Terms from time to time. When we do, we will post the updated Terms with a new Effective Date. Your continued use of the Site after changes become effective constitutes acceptance. We may modify, suspend, or discontinue any part of the Site at any time.

2) Privacy

Your use of the Site is also subject to our Privacy Policy at https://paywithcause.com/privacy. The Site may use cookies or similar technologies as described there.

3) Eligibility and geographic scope

The Site is intended for individuals 18 years of age or older and for use in the United States. You are responsible for compliance with local laws if you access the Site from elsewhere.

4) Children’s privacy

The Site is not directed to children under 13. Do not submit personal information about children under 13 through the Site. If we learn we have collected such information, we will delete it.

5) Site content is informational only

Content on the Site is provided for general informational purposes and does not constitute financial, legal, tax, or other professional advice.

6) Access and security

We may restrict or withdraw access to some or all of the Site at any time. You are responsible for maintaining sufficient cybersecurity protections for your own systems (including anti‑virus and secure configurations) and for any information you submit via the Site’s forms.

7) Testimonials and user submissions

If you submit a testimonial, comment, logo, or other material to us through forms or email (collectively, “User Content”), you grant Pay With Cause a non‑exclusive, worldwide, royalty‑free license to host, reproduce, display, and distribute that User Content on the Site and in our marketing, and to use your name, company name, and logo in connection with the testimonial, in each case consistent with these Terms and our Privacy Policy. You represent that you have all rights necessary to grant this license and that your User Content is accurate and lawful. We may edit, refuse, or remove User Content at our discretion and may cooperate with law enforcement.

8) Acceptable use

You agree not to (and not to enable others to): (a) use the Site for unlawful, harmful, or fraudulent purposes; (b) exploit or seek personal information from minors; (c) attempt to gain unauthorized access to the Site or our systems; (d) interfere with or disrupt the Site; (e) copy, scrape, crawl, or index the Site except as permitted by standard search engine protocols; (f) reverse engineer or decompile any part of the Site; (g) transmit spam, malware, or infringing content; (h) impersonate any person or entity; or (i) misrepresent your affiliation with Pay With Cause.

9) Intellectual property; limited license; feedback

The Site (including text, graphics, logos, and other content) is owned by us or our licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Site for its intended purpose. Our names, logos, product and service names, designs, and slogans are trademarks of Pay With Cause or our licensors. If you provide feedback or suggestions, we may use them without restriction or obligation to you.

10) Linking

You may link to our homepage in a way that is fair and legal and does not suggest our endorsement. No framing or in‑line linking that presents Site content as your own. We may withdraw linking permission at any time.

11) Third‑party links

The Site may contain links to third‑party websites or resources. We are not responsible for (and do not endorse) third‑party content, products, services, or policies. Your use of third‑party sites is at your own risk and may be subject to separate terms and privacy policies.

12) DMCA / copyright complaints

If you believe content on the Site infringes your copyright, contact our Copyright Agent at team@paywithcause.com with a notice containing: (1) your signature; (2) identification of the work claimed to be infringed; (3) identification of the material claimed to be infringing and its location; (4) your contact information; (5) a statement of good‑faith belief that use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and you are authorized to act for the owner. We may remove content and terminate repeat infringers as appropriate.

13) Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. We do not warrant that the Site will be uninterrupted, secure, or error‑free, that defects will be corrected, that the Site or the server that makes it available are free of viruses or other harmful components, or that any content will be accurate, current, or complete.

14) Limitation of liability

To the fullest extent permitted by law, in no event will Pay With Cause or its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of (or inability to use) the Site, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claims arising from or related to the Site will not exceed US $100. Some jurisdictions do not allow certain limitations; some of the above may not apply to you.

15) Time limit to bring claims

Any cause of action or claim arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

16) Indemnification

You agree to defend, indemnify, and hold harmless Pay With Cause and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any law or third‑party right.

17) Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason. Sections that by their nature should survive termination will survive (including ownership, disclaimers, limitations of liability, indemnification, governing law, and venue).

18) Dispute resolution; arbitration; class‑action waiver

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑laws principles.

Informal resolution. Before filing a claim, you agree to email us at team@paywithcause.com with a brief description of the dispute and your contact information, and we will attempt to resolve it informally within 30 days. If we cannot resolve it, the dispute will be handled as set out below.

Binding arbitration. You and Pay With Cause agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Site (a “Dispute”) by binding arbitration, administered by the American Arbitration Association (AAA) under its applicable rules (including the Consumer Arbitration Rules for individual users and the Commercial Arbitration Rules for entities). The arbitration will be conducted by a single arbitrator seated in Wilmington, Delaware, in English. Judgment on the award may be entered in any court with jurisdiction. The arbitrator may award individual relief that would be available in court. Each party will bear its own attorneys’ fees and costs, unless a statute provides otherwise.

Small‑claims carve‑out. Either party may bring an individual claim in small‑claims court in a jurisdiction that has personal and subject‑matter jurisdiction over the parties and the claim.

No class or representative actions. Disputes must be brought on an individual basis only and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not otherwise preside over any form of representative or class proceeding.

Opt‑out. You may opt out of this arbitration agreement by sending an email to team@paywithcause.com stating your request to opt out within 30 days after you first agree to these Terms. Opting out will not affect any other provisions of these Terms.

Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information, or to enforce the arbitral award. For any permitted court action, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

Severability and survival. If the class‑action waiver above is found unenforceable as to a particular claim, then the arbitration agreement will not apply to that claim, which must be brought exclusively in the courts specified above. Except as provided in the prior sentence, if any part of this Section is found unenforceable, the remainder will still apply. This Section survives termination of these Terms.

19) Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site and supersede any prior or contemporaneous understandings. If any provision is held invalid, the remaining provisions will remain in full force. You may not assign these Terms without our consent; we may assign them as permitted by law. No waiver of any term is a continuing waiver.
